Terms of Service

These Terms of Service ("Terms") govern access to and use of Zyntraflow, a production automation platform for laser engraving and UV printing operations ("Service"), provided by Zyntra ("Zyntra," "we," "us," or "our"). By creating an account, accessing the dashboard, or using the Zyntraflow API, you ("Customer," "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, do not use the Service.

Zyntraflow provides software that processes customer order data (including custom/personalized product orders) and generates production-ready output files (including but not limited to SVG, PDF, and EZD formats) for use with laser engraving, UV printing, and related production equipment. The Service is offered via a web dashboard and an application programming interface (API).

3.1 You must provide accurate, current, and complete information when creating an account.

3.2 You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account.

3.3 You must notify us promptly of any unauthorized use of your account.

4.1 Access to the Service is provided on a subscription basis, as set out in the applicable order form, pricing page, or plan selected at signup.

4.2 Fees are billed in advance on a recurring basis (monthly or annually, as selected) unless otherwise agreed in writing.

4.3 All fees are exclusive of applicable taxes, which you are responsible for unless we are required by law to collect them.

4.4 Failure to pay fees when due may result in suspension or termination of access to the Service, subject to reasonable notice.

4.5 Fees are non-refundable except as expressly stated in our Refund Policy or as required by applicable law.

5.1 "Customer Data" means order data, design files, images, and related content you upload to or process through the Service.

5.2 You retain all ownership rights in your Customer Data. You grant Zyntra a limited license to host, process, transmit, and generate output from Customer Data solely to provide and improve the Service.

5.3 You represent that you have all necessary rights and permissions to upload and process the Customer Data you submit, including any third-party content (e.g., customer-submitted images or designs), and that such use does not infringe any third party's intellectual property or privacy rights.

5.4 You are solely responsible for the legality, accuracy, and appropriateness of Customer Data.

You agree not to:

• (a) use the Service to process content that is unlawful, infringing, or that you do not have rights to use;
• (b) attempt to reverse engineer, decompile, or access the source code of the Service except as permitted by law;
• (c) use the Service to build a competing product;
• (d) interfere with or disrupt the integrity or performance of the Service;
• (e) attempt to gain unauthorized access to the Service or related systems;
• (f) exceed reasonable API rate limits or use the API in a manner not intended by its documentation.

7.1 Zyntra retains all right, title, and interest in and to the Service, including all software, algorithms, dithering and rendering pipelines, documentation, and underlying technology.

7.2 Nothing in these Terms transfers ownership of Zyntra's intellectual property to you. You receive only the limited right to use the Service as set out herein.

7.3 Output files generated from your own Customer Data belong to you, subject to Section 5.

The Service may integrate with or generate files intended for use with third-party platforms, marketplaces (e.g., Amazon), or hardware/software (e.g., LightBurn-compatible equipment). Zyntra is not responsible for the availability, performance, or policies of third-party services.

We aim to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may perform scheduled or emergency maintenance and will use reasonable efforts to minimize disruption.

Each party agrees to protect the other party's confidential information disclosed in connection with the Service using at least the same degree of care it uses for its own confidential information, and not to disclose it to third parties except as necessary to perform under these Terms or as required by law.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUT FILES WILL BE ERROR-FREE OR SUITABLE FOR EVERY PRODUCTION SETUP.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZYNTRA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR PRODUCTION MATERIALS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. ZYNTRA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO ZYNTRA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Zyntra from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or Customer Data you submit.

14.1 These Terms remain in effect while you use the Service.

14.2 Either party may terminate for convenience in accordance with the notice period in the applicable order form, or where none is specified, thirty (30) days' written notice.

14.3 We may suspend or terminate access immediately for material breach, non-payment, or misuse of the Service.

14.4 Upon termination, your right to access the Service ends. We will provide a reasonable window to export Customer Data unless termination was due to unlawful use.

We may update these Terms from time to time. Material changes will be notified via the dashboard or email. Continued use of the Service after changes take effect constitutes acceptance.

These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles, unless a separately executed agreement between Zyntra and Customer specifies otherwise.
